Thanks for ur help. I tried everything I know :
1 removed music bee completely
2 removed all net software completely.
3 did new installation of net software started with v4.0 and working backward to v2.0  (recommended to do this way by net devel at Ms
4. reinstaed musiv bee starting with 2.3 and then 2.4.
Still does not work. Shows up as loaded  as a process in task manager but does not run. Sometime it shows 2 process's loaded.

I would very much like to try musicbee in place of winamp but I have given up trying. If u should ever come across a solution to try

my guess would be your security software is blocking musicbee

Sounds like the old Avast Deep Screen problem again. If you have Avast, turn that feature off.

i don't have avast I have Norton Endpoint client. I'm going to install Win 7 in a few days and then I'll retry musicBee. Thanksfor the insight
